Affiliate Members Terms & Conditions (in Legalese :-))
I understand that as an Abundant Living Legacy, LLC (ALL) affiliate member:
1. I have the right to purchase the subscription service from Abundant Living Legacy, and offer for sale the same subscription service in accordance with these terms and conditions.
2. I have the right to enroll persons on Abundant Living Legacy, and will train and motivate members in my network organization. I will apply with all federal, state, county and municipal laws, ordinances, rules, and regulations, and shall make all reports and remit all withholdings or other deductions as may be required by any federal, state, county or municipal law, ordinance, rule, or regulation.
3. I will perform my obligations as an affiliate member with honesty and integrity.
4. I will follow all Terms and Conditions established by Abundant Living Legacy.
5. In order to be eligible to receive referral bonuses and commissions, I must be an active subscriber with Abundant Living Legacy.
6. I agree that as an Abundant Living Legacy affiliate member I am an independent contractor, not an employee, agent, partner, legal representative, or franchise of Abundant Living Legacy. I am not authorized and will not incur any debt, expense, obligation, or open any checking account on behalf of, for, or in the name of Abundant Living Legacy. I understand that I shall control the manner and means by which I operate my Abundant Living Legacy business, subject to my compliance with these terms and conditions, the Abundant Living Legacy Policies and Procedures, and the Abundant Living Legacy marketing and Team Sharing Compensation Plan (all of which are collectively referred to as the “agreement”). I agree that I will be solely responsible for paying all expenses incurred by myself including but not limited to travel, food, lodging, secretarial, office, long distance telephone and other expenses. I UNDERSTAND THAT I SHALL NOT BE TREATED AS AN EMPLOYEE OF Abundant Living Legacy FOR FEDERAL OR STATE TAX PURPOSES. Abundant Living Legacy is not responsible for withholding and shall not withhold or deduct from my bonus and commissions, if any, FICA, or taxes of any kind, unless such withholding becomes legally required. I agree to be bound by all sales tax collections agreements between Abundant Living Legacy and all appropriated taxing jurisdictions, and all related procedures.
7. I have carefully read and agree and comply with the Abundant Living Legacy policies and procedures and the Abundant Living Legacy Marketing and Team Sharing Compensation Plan, both of which are incorporated into and made part of these terms and conditions. I understand that I must be in good standing and in not in violation of any of the terms of the agreement, in order to be eligible to receive any bonuses or commissions from Abundant Living Legacy. I understand that these Terms and Conditions, and the Abundant Living Legacy Policies and Procedures or the Abundant Living Legacy marketing and compensation plan may be amended at the sole discretion of Abundant Living Legacy, and I agree that any such amendment will apply to me. Notification of amendments shall be published on official materials and at the website. The continuation of my Abundant Living Legacy affiliate membership and/or business or my acceptance of bonuses or commissions shall constitute my acceptance of any and all amendments.
8. Upon acceptance of my initial subscription service to and by Abundant Living Legacy, I am authorized as an Affiliate Member as of the date of acceptance, the term of this agreement is monthly based on purchasing the monthly subscription service. If I fail to purchase a monthly subscription for a 3 month period I understand that I will permanently lose and waiver all rights as a member, including any property rights, Team Network Down-Line organization, bonuses and commissions pursuant to the Abundant Living Legacy marketing and compensation plan, and the right to sell Abundant Living Legacy subscription service in order to ensure my affiliation or business remains active and to avoid potential termination. I authorize Abundant Living Legacy to debit my account on file on a monthly basis for the purpose of purchasing my monthly subscription service.
9. I may not assign any rights or delegate my duties under the Agreement without the prior written consent of Abundant Living Legacy. Any attempt to transfer or assign this agreement without the express written consent of Abundant Living Legacy renders this Agreement voidable at the option of Abundant Living Legacy and may result in termination of my business.
10. I understand that if I fail to comply with the terms of this Agreement, Abundant Living Legacy may, at its discretion impose upon me disciplinary action as set forth in the Policies and Procedures. If I am in breach, default or violation of this Agreement at termination, I shall not be entitled to receive any further bonuses or commissions, whether or not the sales for such bonuses or commissions have been completed. If I fail to pay for services when payment is due, I authorize Abundant Living Legacy to withhold the appropriate amounts from my bonus or commission checks, to charge my credit card which I have authorized Abundant Living Legacy to charge. I understand that the failure to promptly pay for the subscription service constitutes a breach of the Agreement.
11. Abundant Living Legacy, its directors, officers, share holders, employees, assigns, and agents shall not be liable for, and I release Abundant Living Legacy and its affiliates from, and waive all claims for any loss of profits indirect, direct, special or consequential damages and any other loss incurred or suffered by me. I further release Abundant Living Legacy and any of its affiliates, from all liability arising from or relating to promotions or operation of my Abundant Living Legacy affiliate membership or business and any activities related to it (e.g., the presentation of Abundant Living Legacy services or Compensation and Marketing Plan, the operation of a motor vehicle, lease of meeting or training facilities, etc.).
12. This Agreement, in the current form and as amended by Abundant Living Legacy at its discretion, constitutes the entire contract between Abundant Living Legacy and myself. Any promise, representations, offers or other communications not expressly set forth in this Agreement are of no force or effect. To the extent of any conflict or any inconsistency between Agreement and any other agreement (other than the Policies and Procedures) this Member Application and Agreement shall supersede and prevail over any terms of any other agreements to the matters addressed herein. To the extent of any conflict or inconsistency between the Policies and Procedures (in their current form or as subsequently modified), the Policies and Procedures shall in all instances supersede and prevail over any terms of this Agreement as to the matters addressed herein.
13. Any waiver by Abundant Living Legacy of any breach of this Agreement must be in writing and signed by an authorized officer of Abundant Living Legacy. Waiver by Abundant Living Legacy of any breach of this Agreement by me shall operate or be constituted as a waiver of any subsequent breach. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be performed only to the extent necessary to make it forcible and the balance of the Agreement will remain in full force any effect.
14. This Agreement will be governed by and construed in accordance with the laws of the State of Washington, unless the laws of the State in which I reside expressly require the application of its laws. Except as set for in the Abundant Living Legacy Policies and Procedures, or unless the laws of the state in which I reside expressly prohibits the consensual jurisdiction and the venue provisions of this Agreement, in which case its laws shall govern, all disputes, claims relating to Abundant Living Legacy, the Member Agreement, Abundant Living Legacy Marketing Compensation Plan, or its products and services, the rights and obligations of an Independent Member and Abundant Living Legacy, or any other claims or cause of action relating to the performance of either an Independent Member Abundant Living Legacy under the Agreement or the Abundant Living Legacy Policies and Procedures shall be settled totally and finally by arbitration Federal Way, Washington or such other location as Abundant Living Legacy prescribes, in accordance with the Federal Arbitration Association. All issues related to the arbitration shall be governed by the Federal Arbitration Act and the Commercial Arbitration Rules of the American Arbitration Association. If a Member Distributor files a claim or counter claim against Abundant Living Legacy, he or she shall do so on an individual basis and not with any other Member or as part of a class action. The decision of the arbitrator shall be fi8nal and binding on the parties and may, if necessary, be reduced to a judgment in any court of competent jurisdiction. The prevailing party shall be entitled to receive from the losing party cost and expenses of the arbitration including legal and filing fees. This Agreement to arbitrate shall survive any termination or expiration of the Agreement. Noting in this Agreement or the Policies and Procedures shall prevent Abundant Living Legacy from applying to in obtaining from any court having jurisdiction a writ of attachment, or temporary injunction, preliminary injunction, or permanent injunction or other relief available to safe guard or protect all interests prior to, during or following the filing of any arbitration or other proceeding or pending the rendition of a decision or award in connection with any arbitration or other proceeding.
15. The parties consent to jurisdiction and venue before any federal or state court in King County, State of Washington for the purposes of enforcing an ward by an arbitrator or any other matter not subject to arbitration. If the law of the state in which the applicant resides prohibits consensual jurisdiction and venue provisions for purposes of arbitration and litigation, the state law shall govern issues relating to jurisdiction and venue.
Subscription Terms and Conditions
1) Your cancelled check or credit card charge constitutes your receipt and verification that your application has been accepted by Abundant Living Legacy. By entering my Social Security # OR Federal I.D. # (as may be required) of this Member Application and Agreement, I certify that this number is my correct tax payer I.D. #. I understand that any intentional misrepresentation of any information I provide on this Application may result in action taken by Abundant Living Legacy, up to and including termination of this Agreement.
2) By completing this application to the subscription service, I authorize Abundant Living Legacy; herein referred to as Abundant Living Legacy to place a continuing or “standing” subscription service monthly order to be charged on my credit card until they receive in writing my cancellation. Abundant Living Legacy is under no obligation to provide service if authorized account(s) have been overdrawn or closed. Abundant Living Legacy reserves the right to modify or terminate the subscription service at it’s sole discretion. This Agreement does not supersede or modify in any way the Terms and Conditions of Abundant Living Legacy Policies and Procedures.
3) This Agreement will remain in effect until you: (1) elect to alter or change any aspect of this Agreement by submitting a new signed Agreement; (2) send in writing, fax or phone, your cancellation of this Agreement to Abundant Living Legacy with a signature, printed name, address, and Abundant Living Legacy ID number (or, if business entity, a Federal ID number), or (3) stop payment of any withdrawals by Abundant Living Legacy by notifying your issuing bank at least three (3) days prior to the scheduled charging of your account. Cancellation will be effective in the calendar month in which it is received by Abundant Living Legacy provided that your account has not been charged for that month; otherwise, cancellation will become effective in the month following the month in which your notice of cancellation is received by Abundant Living Legacy.
4) I authorize Abundant Living Legacy to withdraw payment of my subscription service from my credit card identified on the front of this Agreement. Abundant Living Legacy is authorized to withdraw payment equal only to the amount of the monthly subscription service. I understand that my credit card may be charged up to (7) days prior to the scheduled subscription service billing date. I agree to pay a $15 service fee in the event a charge is returned for any reason. I have the right to have the amount of any erroneous withdrawal deposited into my account as soon as reasonable possible and upon proper notification to Abundant Living Legacy. I shall hold Abundant Living Legacy harmless for all special and consequential damages, whether direct or in direct resulting from any wrongful debt to my account.
5) Abundant Living Legacy reserves the right to change prices without notice. When such price changes occur, Abundant Living Legacy will post such changes at its website and publish in Abundant Living Legacy publications and unless I direct them to do otherwise, will continue to provide me the subscription service specified in my Agreement as the changed price.
6) Your subscription service will commence immediately upon electronic acceptance of your payment to Abundant Living Legacy.
7) All subscription service sales are final. Affiliates receive access to the services immediately and commissions are dispersed to Affiliates as defined in the compensation plan, therefore there are no refunds.
8) If you do a charge back you must pay an administration fee equal to the amount of the charge back plus an additional $35 per charge back plus any collection fees and/or legal fees.
